Board Meeting Schedule

This fire department operates off of funding provided through the Denver Fire Tax District, so the Board of Directors and fire department management feel the strong need to be as transparent as possible. This fire department allows the public to attend and participate in the following meetings held at Denver Fire Department Headquarters.

Annual Community Board Meeting

This fire department has what is known as an Annual Meeting. This meeting allows the Board of Directors and fire department management to interact with the public it serves and obtain their input. The below agenda is typically followed, but the fire department is not limited to the following agenda:     

  1. Call the Meeting to Order;
  2. Roll call by the Secretary of the Board;
  3. Approval of the minutes of the last annual meeting;
  4. Approval of the Treasurer’s Report;
  5. Fire Chief’s Report to the Board;
  6. Appointments/Elections of Board Members, if applicable;
  7. Election of Board Officers, if applicable;
  8. Old Business;
  9. New Business;
  10. Public Comment Time; and
  11. Adjournment.

NOTE: This meeting is held on the 2nd Tuesday of July each year at Denver Fire Department Headquarters located at 3956 N NC 16 Business Hwy and starts at 7 pm.

Monthly Board Meetings

The Board of Directors meets monthly, except for July and December, with the fire department management to discuss the operations of the past month and future planning for the fire department. These discussions are focused on financial oversight and management oversight, to ensure that the Board of Directors fulfills their fiduciary duties; the Duty of Care, the Duty of Loyalty, and the Duty of Obedience. The below agenda is usually followed each month, but the fire department is not limited to the following agenda:     

  1. Call the Meeting to Order;
  2. Roll call by the Secretary of the Board;
  3. Approval of the minutes of the last month’s meeting;
  4. Approval of the Treasurer’s Report;
  5. Fire Chief’s Report to the Board;
  6. Appointments/Elections of Board Members, if applicable;
  7. Election of Board Officers, if applicable;
  8. Old Business;
  9. New Business;
  10. Public Comment Time; and
  11. Adjournment.

NOTE: These meetings will be held on the first (1st) Tuesday of each month at the headquarters station (3956 N NC 16 Business Hwy) of the fire department, starting at 7:30 p.m.  

Open Meeting Minutes

The Secretary of the Board shall keep minutes of each Open Meeting of the Board of Directors, so that a person not in attendance would have a reasonable understanding of what transpired in the open meeting. If a taxpayer of the Fire District requests a copy of the minutes, the fire department will provide you with a copy as soon as the minutes are approved by the Board in the following Open Meeting of the Board.   

Closed Session Meetings & Minutes

The only time a meeting will be closed to the public is a “Closed Session Meeting.”  This type of meeting should only be to discuss the following: Personnel matters, information about purchasing a future piece of property or to obtain legal advice from the fire department’s legal counsel.

Like any other business, there are times when the Board of Directors and management staff must protect the fire department. This fire department does not have to meet the requirements of North Carolina public meetings and information laws because it is not a government agency. Still, the Board of Directors strives to be transparent to the community while protecting the fire department under their fiduciary duties.  

The Secretary of the Board shall keep minutes of each Closed Session Meeting of the Board of Directors so that a person not in attendance would have a reasonable understanding of what transpired in the meeting. These types of meeting minutes will be kept separate from the open meeting minutes. If a taxpayer of the fire district requests a copy of these types of minutes, the Board of Directors shall review the request, and if the issue addressed within the Closed Session Meeting is no longer sensitive, then the Board may, at their sole discretion, release them.
